This Mutual Non-Disclosure Agreement (the "Agreement") is entered into as of the date last signed below (the "Effective Date") by and between the parties identified in the signature blocks of this Agreement, each a "Party" and collectively, the "Parties."
The Parties wish to explore a potential business relationship (the "Purpose") and, in the course of such evaluation, may disclose certain Confidential Information to one another. The Parties have agreed to enter into this Agreement to ensure the protection of such information.
"Confidential Information" means any information disclosed by one Party (the "Disclosing Party") to the other (the "Receiving Party"), in any form, that is either marked confidential or that would reasonably be understood, given the nature of the information and the circumstances of disclosure, to be confidential.
The Receiving Party shall (a) hold the Confidential Information in strict confidence, (b) use it solely for the Purpose, and (c) restrict access to its employees, advisors, and contractors who reasonably require access and who are bound by obligations of confidentiality no less protective than those herein.

MUTUAL NON-DISCLOSURE AGREEMENT
This Mutual Non-Disclosure Agreement (the "Agreement") is entered into as of the date last signed below by and between Hayworth & Associates LLP, a New York limited liability partnership ("Hayworth"), and Vault Capital Partners, a Delaware corporation ("Vault"). Hayworth and Vault are sometimes referred to individually as a "Party" and collectively as the "Parties."
1. Definition of Confidential Information. "Confidential Information" means any non-public information, in any form, that is disclosed by one Party (the "Disclosing Party") to the other Party (the "Receiving Party") and is identified as confidential or, given its nature and the circumstances of disclosure, should reasonably be understood to be confidential.
2. Obligations of Confidentiality. Each Receiving Party shall (a) hold the Confidential Information in strict confidence; (b) use the Confidential Information solely for the purpose of evaluating, negotiating, or performing the business relationship between the Parties; and (c) restrict disclosure of the Confidential Information to those of its employees, advisors, and representatives who have a need to know.
3. Term. This Agreement shall remain in effect for three (3) years from the Effective Date.
This Master Services Agreement (the "Agreement"), dated as of the Effective Date set forth below, is entered into by and between Hayworth & Associates, a New York limited liability partnership ("Provider"), and Vault Capital Partners LLC, a Delaware limited liability company ("Client").
Provider shall perform the legal advisory services described in one or more statements of work ("SOWs") entered into pursuant to this Agreement. Each SOW shall be governed by the terms hereof.
Client shall pay Provider the fees set forth in each applicable SOW. All invoices are due within thirty (30) days of receipt unless otherwise specified. Late payments may accrue interest at 1.5% per month.
This Agreement shall commence on the Effective Date and continue until terminated by either Party upon thirty (30) days written notice. Termination shall not affect any rights or obligations accrued prior to such termination.
Each Party agrees to maintain the confidentiality of the other Party's Confidential Information and to use such information solely in connection with this Agreement. The obligations of this section shall survive termination for a period of five (5) years.
